These Terms and Conditions (the "Agreement") govern the use of services provided by Bhaarat Enterprise (INDRASHISH DAS), a company registered in India. By accessing our website and using our services, you agree to be bound by the following terms. If you do not agree with these terms, please refrain from using our website or services.
1. Definitions
"Company" refers to Bhaarat Enterprise (INDRASHISH DAS).
"Client" refers to any individual or entity that has entered into an agreement with Bhaarat Enterprise for the provision of web development services.
"Services" refers to the web development, design, and related services provided by Bhaarat Enterprise.
"Website" refers to the official website of Bhaarat Enterprise (INDRASHISH DAS), located at www.bhaarate.com.
2. Scope of Services
Bhaarat Enterprise (INDRASHISH DAS) offers web development, design, and consulting services to clients globally. Our services include, but are not limited to:
- Website design and development
- E-commerce website development
- Website maintenance and support
- SEO and digital marketing
- Custom software development
- Mobile app development
3. Client Responsibilities
The Client agrees to:
Provide all necessary information and materials to facilitate the completion of the project, including but not limited to content, images, logos, and business details.
Ensure that all content provided is accurate and does not infringe upon any third-party rights.
Cooperate with Bhaarat Enterprise (INDRASHISH DAS) in good faith and respond promptly to requests for approvals or feedback.
4. Project Timeline
Bhaarat Enterprise (INDRASHISH DAS) will provide an estimated timeline for the completion of the services. However, timelines are subject to change based on the scope of the project, the Client’s responsiveness, and any unforeseen challenges. Delays caused by the Client, including failure to provide requested materials or approvals, may result in a revised timeline.
5. Payment Terms
The Client agrees to pay the fees as outlined in the project proposal or invoice provided by Bhaarat Enterprise (INDRASHISH DAS).
Payments are due according to the payment schedule agreed upon in the proposal (e.g., upfront deposit, milestone payments, or upon completion).
If the Client fails to make payment on time, Bhaarat Enterprise (INDRASHISH DAS) reserves the right to suspend or terminate services until the outstanding balance is paid.
Payment methods may include bank transfers, credit cards, or other methods as agreed upon by both parties.
All prices are exclusive of taxes, and the Client agrees to bear any applicable taxes, duties, or levies.
6. Intellectual Property
Upon full payment for the Services, the Client will own the intellectual property rights to the final web design and content created by Bhaarat Enterprise (INDRASHISH DAS), unless otherwise agreed upon in writing.
Bhaarat Enterprise (INDRASHISH DAS) retains the right to use the work in its portfolio, promotional materials, and other business activities.
The Client agrees not to use any software, code, or design elements developed by Bhaarat Enterprise (INDRASHISH DAS) in violation of intellectual property rights.
7. Confidentiality
Bhaarat Enterprise (INDRASHISH DAS) agrees to keep all Client information confidential and will not disclose any details related to the Client’s business, except as required by law or with the Client’s express written consent.
8. Limitation of Liability
Bhaarat Enterprise (INDRASHISH DAS) will not be held liable for any indirect, incidental, special, or consequential damages, or any loss of data, profits, or business, arising from the use or inability to use the services.
Our liability for any claim arising from this Agreement shall be limited to the amount paid by the Client for the services rendered.
9. Warranty and Support
Bhaarat Enterprise (INDRASHISH DAS) provides a 30-days warranty period after project completion to address any bugs or issues with the website. During this period, any errors or issues that are the result of the development process will be fixed at no additional charge.
After the warranty period, ongoing maintenance and support can be provided for a separate fee as agreed upon between the Client and Bhaarat Enterprise.
10. Termination
Either party may terminate the agreement by providing written notice if the other party breaches any of the terms outlined in this Agreement. Upon termination, the Client agrees to pay for all work completed up until the termination date.
11. Force Majeure
Neither party shall be liable for any delay or failure in performance due to causes beyond their reasonable control, including but not limited to acts of God, natural disasters, strikes, or governmental restrictions.
12. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or related to this Agreement shall be subject to the exclusive jurisdiction of the courts in Kolkata, India.
13. Amendments
Bhaarat Enterprise (INDRASHISH DAS) reserves the right to amend or modify these Terms and Conditions at any time. Any changes will be posted on the website, and the updated version will be effective immediately upon posting. The Client is responsible for reviewing these terms periodically.
14. Dispute Resolution
In case of any disputes, both parties agree to attempt resolution through amicable negotiations. If the dispute cannot be resolved through negotiations, the parties agree to submit the dispute to mediation or arbitration in accordance with the laws of India.
15. Miscellaneous
This Agreement constitutes the entire understanding between the parties and supersedes all previous discussions or agreements.
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
